These terms are a contract between you and 8x Social, Inc., a Delaware C Corporation and the company that operates EveryReply. Our address is 1111B S Governors Ave STE 47647, Dover, DE 19904, United States. By creating an account or using the service you agree to them. If you do not agree, do not use EveryReply.
If you are accepting on behalf of a company, you confirm that you have the authority to bind it, and “you” means that company.
EveryReply watches comments on the Instagram posts you choose, matches them against keywords you set, and sends the direct message you wrote. It also gives you an inbox for the conversations that follow, a contact list, reusable templates, and reporting.
EveryReply works through Meta’s APIs, so your use of it is also governed by Meta’s Platform Terms, the Instagram Terms of Use, and the Instagram Community Guidelines. Where those rules are stricter than ours, they win.
Two of Meta’s rules shape how the product behaves. You may reply to a person for 24 hours after their last message, and outside that window only in the limited ways Meta allows. Automated messages must not pretend to be a human. We build these limits into the product, and you must not try to work around them.

We may suspend or close an account that breaks these rules, and we may do it without notice if the breach puts other users or our Meta app at risk.
The automations, templates, and messages you write stay yours. You give us the licence we need to store them, process them, and send them through Meta’s APIs on your behalf. That licence ends when you delete the content or close your account.
You are responsible for what your automations say. Make sure you have the right to send it and that it is accurate.
Paid plans are billed in advance on the cycle you choose, and renew automatically until you cancel. You can cancel at any time from Settings, and your plan stays active until the end of the period you already paid for. We do not give partial refunds for unused time unless the law requires it.
If we change prices, we will give you at least 30 days notice by email, and the new price applies from your next renewal.
We aim to keep EveryReply running, but we do not promise it will never go down. We may take it offline for maintenance, and we will give notice when we can.
EveryReply depends on Meta’s APIs. Meta can change, restrict, or withdraw those APIs at any time, and can suspend our app or your account. If that happens, parts of the service may stop working through no fault of ours. We will tell you what we know and refund any unused prepaid time if the service becomes permanently unusable.
EveryReply, its name, design, and software belong to 8x Social, Inc. These terms give you a limited, non-exclusive, non-transferable right to use the service while your account is active. Nothing here transfers ownership.
To report copyright infringement, send written notice to legal@8x.social identifying the work, where the infringing material sits, your contact details, a good faith statement, and a declaration of accuracy under penalty of perjury.
You can close your account at any time from Settings. We can suspend or close your account if you break these terms, if we are required to by law, or if we stop offering the service. When your account closes, we delete your data as described in our privacy policy.
EveryReply is provided as is. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error free, or that every message will be delivered.
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or goodwill. Our total liability for any claim relating to the service is capped at the amount you paid us in the 12 months before the claim arose, or one hundred US dollars if you have not paid us anything.
Nothing in these terms limits liability that cannot be limited by law.
You agree to cover our losses, including reasonable legal fees, arising from your use of the service, the content you send through it, or your breach of these terms or of Meta’s policies.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules.
If you use EveryReply for business, you consent to the exclusive jurisdiction of the state and federal courts of Delaware. If you are a consumer, you keep the right to bring proceedings in the courts where you habitually live, and the mandatory consumer protection laws of your country still apply. Nothing here stops either of us from seeking injunctive relief, using small claims court, or reporting illegal activity to the authorities.
EveryReply is an independent product. It is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. Instagram and Facebook are trademarks of Meta.
We may update these terms. If a change materially affects you, we will email you at least 30 days before it takes effect. Carrying on using EveryReply after that means you accept the new terms.
